What Is IPO GMP (Grey Market Premium)?

IPO GMP is the unofficial premium at which an IPO’s shares — or, more precisely, IPO applications — change hands in the grey market before the stock is officially listed on the NSE or BSE. It is a rough, informal gauge of demand, not a regulated price.

Formula:

GMP = Grey Market Price − IPO Issue Price Estimated Listing Price = IPO Issue Price + GMP

Worked example: If an IPO is priced at ₹200 and the current GMP is ₹40, the grey market is implying a listing around ₹240 — a 20% premium. If GMP turns negative (say −₹15), the market is signalling a possible listing below the issue price.

The grey market itself is an unofficial, over-the-counter network of dealers — it operates outside SEBI’s regulatory framework, carries no investor protection, and its published rates can be thin, regional, and easy to manipulate. Treat every GMP figure as one noisy input, not a forecast.

How GMP Of IPO Moves Through the IPO Lifecycle

  1. Pre-issue — Initial GMP appears once the IPO is announced, based on company profile and sector sentiment.
  2. Subscription window — GMP becomes more active as retail, HNI, and QIB bids come in; it can swing several times a day.
  3. Post-subscription-close — GMP typically reacts sharply once final subscription numbers are public, especially the QIB figure.
  4. Pre-listing — GMP “settles” into a final range in the day or two before listing.
  5. Listing day — The actual market decides the price; GMP may prove accurate, or may be wrong in either direction.

Kostak Rate vs Subject to Sauda

These are the two informal contract structures used in grey-market trading of IPO applications.

Kostak RateSubject to Sauda (STS)
Payment triggersImmediately, regardless of allotmentOnly if allotment is confirmed
Risk borne byBuyer (pays even with no allotment)Buyer (walks away if no allotment)
Typical premiumLowerUsually 2–3x higher than Kostak, since the buyer takes allotment risk

Neither structure is legally enforceable — there is no exchange, clearing house, or SEBI oversight behind these trades, and disputes have no formal grievance-redressal path.

What Moves GMP Up or Down?

  • Company fundamentals — revenue growth, margins, debt, promoter track record
  • Valuation vs listed peers — an aggressively priced IPO can suppress GMP even for a strong business
  • Subscription data — especially QIB (institutional) subscription, which is watched closely as a confidence signal
  • Anchor investor quality — participation by well-known mutual funds or FIIs tends to lift sentiment
  • Broader market mood — a rising Nifty/Sensex generally inflates GMP across the board; a correction compresses it
  • Media and social buzz — can move GMP faster than fundamentals, especially for SME IPOs with thin trading volumes

How Much GMP Is “Good”? A Reference Framework

There is no official or SEBI-sanctioned benchmark for what counts as a “good” GMP — the ranges below are informal market convention, not a guarantee.

GMP as % of Issue PriceGeneral Market Reading
NegativeBearish — grey market expects listing below issue price
0–10%Neutral to weak demand
10–20%Mild positive sentiment
20–40%Bullish; historically where GMP-to-listing correlation tends to be closer, though this is not a fixed rule
40%+High-conviction or speculative; also the range most prone to a post-listing “pop and drop”

Important nuance: IPOs with very high GMP have listed flat or negative, and IPOs with modest or zero GMP have occasionally delivered strong listing gains. GMP reflects retail/grey-market speculation — it does not capture institutional intent, and leveraged HNI bidding can inflate subscription numbers without matching real buying interest on listing day.

A Realistic Investment Checklist (Not Just GMP)

Before applying to any IPO, go beyond the GMP number:

  • Read the DRHP/RHP filed with SEBI at sebi.gov.in — objects of the issue, promoter background, litigation history
  • Check 3-year financial trend: revenue growth, margins, debt levels
  • Compare valuation (P/E, P/B) against listed sector peers
  • Track GMP trend over several days, not a single snapshot
  • Review category-wise subscription — QIB interest matters more than headline “times subscribed”
  • Assess overall market conditions and sector momentum
  • Size the application to what you can afford to lose; IPOs are not guaranteed gains

Is IPO GMP legal in India?
Grey market trading of IPO applications is not regulated by SEBI and exists in a legal grey zone — it is not officially sanctioned, and no investor protection applies to grey-market transactions. Publishing GMP figures for informational purposes, as this page does, is different from facilitating grey-market trades, which this platform does not do.
Does high GMP on IPO guarantee listing gains?
No. GMP is an informal sentiment indicator, not a guaranteed outcome. Numerous IPOs with high GMP have listed flat or below the issue price when market conditions shifted between the subscription close and listing day.
How often does GMP change?
Because it’s an unregulated, informal market, GMP can change multiple times a day, especially around subscription closing and just before listing.
Where can I check live IPO GMP?
Use verified, regularly updated trackers (like this page), and cross-check figures across more than one source since individual dealer quotes can vary.
What’s the difference between Kostak and Subject to Sauda?
Use verified, regularly updated trackers (like this page), and cross-check figures across more than one source since individual dealer quotes can vary.
What’s the difference between Kostak and Subject to Sauda?
Kostak pays out regardless of allotment; Subject to Sauda pays out only if allotment is confirmed — see the comparison table above.
Should I invest based on GMP alone?
No. SEBI-registered advisors consistently caution against using grey-market premium as a standalone investment signal — treat it as one data point alongside fundamentals, valuation, and subscription quality.
